About Seed Securities

Special purpose vehicle (SPV), focused on investments in the capital market of the country. Promoted and managed by SEED Investments Pvt. Ltd., this SPV aims to make value investing in the primary and secondary equity market of the country and ultimately aims at wealth maximization of its shareholders.

SEEDsecurities makes investments in the range of securities publicly traded in the Nepalese Capital Market. A significant portion of the securities portfolio will be in long-term value investment followed by short-term speculation and fixed-income instruments. Various strategies and stock-picking tactics will be used throughout to maximize the return.

Our securities portfolio combines active management with strategic asset allocation to optimize risk-adjusted returns. We employ sophisticated research and analysis to identify investment opportunities across various asset classes, market sectors, and geographic regions.

Shareholding Structure: Differential rights shareholding:
  • 10% Group A Shares; promoter and management partner with extended voting rights (1:5.5)
  • 90% Group B Shares; promoter and investment partner with differential voting rights (2:1)
Fees and Administrative Costs: SEED Investments will charge SEED Securities and its shareholders the following fees for managing investments:
  • Annual Management Fee (payable annually) charged to SEED Securities: 1.5% of the investment fund under management
  • Carried interests or performance bonus (at exit) from SEED Securities shareholders: 15% of return in excess of the defined hurdle rate (currently annualized at 10%)
Investment Timeline: 5 Years (mandatory)
Exit Clause Before Mandatory Time: Exit fees as applicable and paid to SEED Investments:
  • 1% administrative fee on exit if the investor finds their own buyer
  • 1% administrative fee and a finder's fee on exit if SEED Investments finds the buyer
  • No fees after the completion of the mandatory years
